1. Who we are

The SteadyCold online store (the "Store") is operated by SteadyCold ("we", "us", "our"), 25251 Beach Pl, Chantilly, VA 20152, United States. Email: info@steadycold.com.

By using the Store or placing an order, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Store.

2. Business buyers

The Store sells cold-chain packaging to businesses. By placing an order you confirm that you are at least 18 years old and that you are buying for business use, with authority to bind the business you name at checkout.

3. What we sell

We sell packaging only: shippers, mailers, liners, refrigerants, indicators, inserts, cartons and kits made of these items. We do not sell medicine, medical devices, vials, pens or syringes, and our kits contain none of these. Product names that describe a use (for example "GLP-1 Shipping Kit") describe the intended shipment, not a product we sell or endorse.

4. Your responsibility for your shipments

You are responsible for: - choosing packaging suitable for what you ship, its route, the season and the carrier; - validating your pack-outs before you rely on them, especially when shipping medicine or other temperature-sensitive products; - complying with all laws, regulations and carrier rules that apply to the goods you ship.

Using our products does not by itself make any shipment comply with any law, regulation, standard or guideline.

5. No hold-time warranty

Unless a product page states a hold time and names its source, we make no claim about how long any product or pack-out will keep contents within a temperature range. Performance depends on factors outside our control, including route, season, carrier handling, conditioning and packing method.

6. Prices and payment

All prices are in US dollars and are shown on the Store. Volume discounts are applied automatically in cart as stated on product pages. Sales tax is added at checkout where required. Payment is due in full at checkout by an accepted card or payment method.

We may change prices at any time. A price change does not affect an order we have already accepted.

If a product is listed at an incorrect price because of an error, we may cancel the order and refund any payment, even after an order confirmation has been sent.

7. Orders

Your order is an offer to buy. We accept it when we ship it. We may refuse or cancel any order, for example if a product is unavailable, if we suspect fraud, or if there is a pricing error. If we cancel after payment, we refund the full amount.

8. Shipping, risk and title

Shipping terms are in our Shipping Policy, which is part of these Terms. Risk of loss and title pass to you when the order is delivered to the shipping address you provided.

9. Returns and refunds

Returns and refunds are governed by our Refund Policy, which is part of these Terms.

10. Samples and quotes

Free samples are provided at our discretion. A quote is not an order. A quote is valid for the period stated on it, or 30 days if none is stated.

11. Product information

We try to describe products accurately. Images may be illustrations or stock photos and may differ from the item you receive in colour, print or minor details. Sizes are nominal unless stated otherwise.

12. Limited warranty and disclaimer

We warrant that products will be free of manufacturing defects when delivered. Your remedy for a defective product reported within 30 days of delivery is replacement or refund of that product, at our choice.

EXCEPT AS STATED IN THIS SECTION, PRODUCTS ARE PROVIDED "AS IS". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF PRODUCT, CONTENTS, PROFITS, REVENUE OR DATA, ARISING FROM YOUR USE OF THE STORE OR OUR PRODUCTS, INCLUDING ANY LOSS OF OR DAMAGE TO GOODS YOU SHIP IN OUR PACKAGING. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID FOR THE PRODUCTS THAT GAVE RISE TO THE CLAIM.

14. Indemnity

You agree to indemnify and hold harmless SteadyCold and its owners from claims, losses and costs (including reasonable attorneys' fees) arising from your shipments, your use of our products, or your breach of these Terms.

15. Intellectual property

All content on the Store, including text, graphics, logos and illustrations, belongs to SteadyCold or its licensors. You may not copy or reuse it without our written permission. If you send us artwork for custom printing, you confirm you have the right to use it, and you grant us permission to reproduce it for your order.

16. Accounts

If you create an account, keep your login details secure. You are responsible for activity under your account.

17. Acceptable use

You may not use the Store for any unlawful purpose, to interfere with its operation, or to access data you are not authorised to access.

18. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Virginia, and you consent to their jurisdiction.
